1. Introduction

1.1 These Terms & Conditions (“Terms”) operate between the user/subscriber (“you”/ “user”/ “subscriber”) and AfroAero Ventures Limited (the “Company”/ “us”/ ”we”/ “our”) on the access to and use of services on the Africans in Aviation (“AinA”) website.

1.2 You agree that by accessing the services on the AinA website, you have read, understood and agreed to be bound by the Terms below. Where you do not agree with the Terms, you are advised to immediately stop using the AinA website.

2.User account

2.1 You must be at least 18 years of age to access and use the AinA website.

2.2 As a user of the AinA website, you will be required to register and provide personal data for purposes of such registration and setup of your user account. You are responsible for ensuring the accuracy of this information.

2.3 You shall provide your legal name to create the user account on the AinA website. There shall be no use of pseudonyms.

2.4 You are responsible for all activities that occur under your account, including maintaining the confidentiality of your log-in information. Where you believe that there are any possible security issues / threats to your account on the website, inform us immediately through support@africansinaviation.com so we may address them accordingly.

2.5 The Company shall investigate the reported security issues / threats and in the event of such security threats, it shall comply with applicable laws, and shall take the appropriate steps to remedy the security threat.

3. Payment terms

3.1 Your access to the AinA website will be subject to a subscription fee. Details of the subscription fee, including duration and benefits, will be provided at the time of subscription.

3.2 You will be required to provide a valid payment method to subscribe. By providing your payment information, you authorize AinA website to charge the applicable subscription fee to your payment method.

3.3 The subscription fee will be charged at the beginning of your subscription and automatically on a recurring basis, depending on your subscription plan (e.g., monthly, annually), unless you cancel your subscription in accordance with the cancellation policy below.

3.4 AinA website reserves the right to change the subscription fee at any time. Any price changes will take effect at the start of the next billing cycle following notice to you via the email you registered on the AinA website. If you do not agree to the price changes, you may cancel your subscription at any time.

3.5 You may cancel your subscription at any time through your account settings. Where you have subscribed to an annual plan, your subscription will continue until the end of that year and will not renew thereafter.

3.6 AinA website reserves the right to terminate or suspend your subscription if you fail to comply with the Terms, including failure to make timely payments. Upon termination, you will lose access to the subscription services. Nevertheless, annual subscribers will receive a pro-rata refund of their annual subscription fee paid for that period, excluding the month of termination. For example, if your annual subscription commenced in April and your subscription is terminated in August, you will be charged for 5 months, April to August only and refunded for 7 months of your subscription fee.

4.Content posting

4.1 By uploading content on the AinA website you warrant that:

4.1.1 The content uploaded is compliant with the Terms.

4.1.2 The content is lawful under the laws of Kenya.

4.1.3 You are the legal and beneficial owner of the content, product or service offered to other users and such content, product or service is free of any encumbrance.

4.1.4 The provision of the content, product or service does not constitute an infringement of a right, patent, trademark, intellectual property rights, trade secret, copyrights or any other proprietary right in or on any of the content, products and/or services so provided.

4.1.5 You will indemnify and hold blameless the Company against any claims for loss and damage resulting from any breach of the Terms or the use of the AinA website.

4.2 The Company shall have an unrestricted royalty-free license to use, store and copy uploaded content and to distribute and make the content available to other users and third parties in accordance with the Terms. 4.3 Save for personal data, any content uploaded by yourself on the AinA website shall be made available to other users.

4.4 The Company reserves the right to disclose your identity to any governmental agency, law enforcement agency or court of law or tribunal which requests or orders the same in accordance with any national laws. 4.5 The Company shall not be responsible or liable to any third party, for accuracy, validity, usefulness or legal status of any content posted by yourself nor does the Company warrant the accuracy, validity or usefulness of such content to such third parties.

4.6 The Company reserves the right to remove any content uploaded by yourself which is considered, in the Company’s sole opinion, to be incompatible with the Terms, in breach of any laws in force, to be in bad faith, immoral or likely to cause annoyance or offence to other users or the public, without any reference to you. The Company also reserves the right to require you to immediately remove any content from the website at any time and you shall immediately comply with any request by the Company to remove any such content.

4.7 You solely assume the risk of use of any material downloaded or otherwise obtained from the website. The Company shall not be responsible for any loss or damage resulting from your use of material downloaded or otherwise obtained from the website.

5.Message Board

5.1 The AinA website will provide you with a message board where you can engage with other users in discussions, share information, ask questions, and provide answers on various topics of interest in the aviation industry.

5.2 By posting content on the message board, you agree that you are solely responsible for the content you submit. You must ensure that your content complies with the Terms and any additional guidelines provided on the message board.

5.3 You agree not to post or transmit any content that:

5.3.1 Contains hate speech, discrimination, or threats against any individual or group

5.3.2 Incites political, ethnic or religious hostility towards other users.

5.3.3 Promotes violence, illegal activities, or any form of harassment.

5.3.4 Includes spam, advertisements, or any form of unsolicited commercial content.

5.3.5 Infringes on any third party's intellectual property rights, including copyrights and trademarks. 5.3.6 Contains offensive language, explicit material, or anything deemed inappropriate by the AinA website.

5.4 The AinA website reserves the right, but is not obligated, to monitor and review all content posted on the message board. We may remove, edit, or refuse to post any content that, in our sole discretion, violates the Terms, our guidelines, or is otherwise objectionable.

5.5 Users are encouraged to report any content they believe violates the Terms. Reports can be made by using the "Report" feature on the message board or send an email to info@africansinaviation.com. 5.6 Violation of these rules may result in the suspension or termination of your account, removal of your content, or other actions deemed appropriate by the AinA website. Repeated or severe violations may lead to permanent banning from the message board and the website.

5.7 If you believe your content has been unfairly removed or edited, you may contact the AinA website by sending an email to info@africansinaviation.com to request a review. While we strive to handle requests fairly, all moderation decisions are final and at the discretion of the AinA website.

5.8 Posts on message board may be deleted upon the user sending an email to info@africansinaviation.com. The email will be acknowledged with an automatic email receipt. The content will be deleted within a reasonable duration of email receipt.

6. Data protection

6.1 The Company undertakes to the best extent possible to comply with data protection laws applicable in Kenya in respect of your personal data.

6.2 You hereby agree that the Company may collect, store, process and use the personal data you provide to:

6.2.1 facilitate the effective use of the AinA website by yourself and other users.

6.2.2 inform you or permit selected third parties, to inform you, about products or services that are provided through the AinA website that are similar to those that you have already purchased or enquired about, or which the Company feels may be of interest to you. Any communication and particularly communication from third parties will be sent to you with your prior consent with an option to opt-out of such communication in the future.

6.2.3 notify you about any changes to, suspension or termination of the AinA website or any other administrative action.

6.2.4 improve the user-experience or functionality of the AinA website or develop, modify, upgrade or amend its services.

7.Intellectual Property

7.1 You agree that all materials, products and services provided on the AinA website are the intellectual property of the Company.

7.2 Content downloaded from the AinA website is owned by the Company and must be acknowledged in all usage outside of the AinA website. Downloaded content cannot be changed or edited.

8.Non-association with the subscriber’s employment

8.1 AinA subscribers shall patronise with the AinA website and all content therein independent of their aviation employer and outside of their formal working hours.

8.2 AinA subscribers shall not disclose any information that would be deemed as proprietary / intellectual property / confidential to the employer, or any other information which would be a conflict of interest with the respective employer, their policies and procedures.

8.3 Confidential information from a subscriber’s employer or any other source should not be disclosed on the AinA website. Such information includes, but is not limited to, information regarding grants, anti-competitive information with suppliers, technical or scientific interests.

8.4 There shall be no unauthorized disclosure of third-party proprietary information or intellectual property, especially information that is commercially sensitive or proposal related. In addition, no industry corporate logos will be used on any AinA content shared or contributed, unless such use has been authorised by the owner.

8.5 Should the Company come across unauthorized content, it will report the matter to the respective organization and upon request, reveal the identity of the user who has shared the content for the organization’s respective action. The content will not be featured on the AinA website and will be permanently deleted and destroyed.

9.Prohibited activities

9.1 You may not access or use the services on the AinA website for any purpose other than for the purpose which the Company has made the website available.

9.2 As a user of the AinA website, you agree not to:

9.2.1 retrieve data or other content from the AinA website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us and without acknowledgement of the data source as AinA.

9.2.2 make any unauthorized use of the services on the AinA website, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

9.2.3 circumvent, disable, or otherwise interfere with security-related features of the AinA website, including features that prevent or restrict the use or copying of any content or enforce limitations on the use of the services and/or the content contained therein.

9.2.4 trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

9.2.5 make improper use of our support services or submit false reports of abuse or misconduct.

9.2.6 attempt to impersonate another user or person or use the username of another user.

9.2.7 use any information obtained from the AinA website to harass, abuse, or harm another person. 9.2.8 use the services on the AinA website as part of any effort to compete with us or otherwise use the services and/or the content for any revenue-generating endeavor or commercial enterprise.

9.2.9 except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the AinA website.

9.2.10 delete the copyright or other proprietary rights notice from any content.

9.2.11 copy or adapt the Services’ software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.

9.2.12 upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming, that interferes with any party’s uninterrupted use and enjoyment of the AinA website or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the website.

9.2.13 Disparage, tarnish, or otherwise harm, in our opinion, the Company and/or the AinA website. 9.2.14 Use the AinA website in a manner inconsistent with any applicable laws or regulations.

10. Non-discrimination

AinA website is open to all users without regard to race, color, religion, national origin, gender, sexual orientation, gender identity, age, physical or mental disability, or genetic factors.

11.Liability

11.1 The Company is not liable for any damages that may occur to you as a result of your use of the AinA website.

11.2 The Company does not warrant, represent, or guarantee that any content / product / service offered to you through the AinA website by other users is legally owned by that user, free from any encumbrances, and does not infringe on intellectual property rights of third parties.

12.Performance of the AinA website

12.1 The Company shall use all reasonable efforts to ensure that the website is available at all times. However, the Company cannot guarantee that the website or any part thereof or feature thereon will always be available and/or error free. In particular, the website may be unavailable during periods when the Company implements upgrades to or carries out essential maintenance.

12.2 The Company shall not incur any liability for any direct or indirect or damage suffered by yourself or third parties as a consequence of such unavailability.

12.3 The Company provides the website on an ‘as is’ basis and make no representations as to the quality, completeness or accuracy of any content made available on the website.

12.4 If you encounter a technical issue on the website, you may contact the Company at support@africansinaviation.com. The Company shall use all reasonable efforts to ensure your issue is resolved in a timely manner.

13. Applicable Law

By using this website, you agree that the Laws of Kenya will govern the Terms or any dispute that might come between the Company and yourself regarding the use of the AinA website.

14. Dispute Resolution

14.1 Any dispute, difference, or question whether of a technical nature or not which may arise at any time between the parties touching upon but not limited to interpretation of the Terms shall be referred to good faith negotiations between the parties.

14.2 Upon dissatisfaction of the outcome of the negotiations, parties will submit to the exclusive jurisdiction of the courts of Kenya to determine the dispute.

15.Amendment

The Company may make changes to the Terms from time to time. The Company will notify you of such changes by any reasonable means, including by posting the revised version on the AinA website. Your use of the AinA website following changes will constitute your acceptance of those changes.
